License Agreement

This Image License Agreement ("Agreement") is entered into between Studio JKT, hereinafter referred to as the "Licensor," and the individual or entity obtaining the license, hereinafter referred to as the "Licensee." By purchasing, downloading, or using any images provided by Studio JKT, the Licensee agrees to abide by the terms and conditions set forth in this Agreement.

1. License Grant

The Licensor grants the Licensee a non-exclusive, non-transferable license to use, reproduce, modify, and distribute the licensed images ("Images") for both personal and commercial purposes, without the need for attribution, subject to the conditions outlined in this Agreement.

2. Usage Rights

2.1 Web Use: The Licensee may use the Images on websites, social media, digital publications, and other online platforms with or without modification .

2.2 Print Use: The Licensee may use the Images for print media, including but not limited to T-Shirts, mugs, brochures, flyers, posters, books, magazines and advertisements with or without modification.

3. Model and Building Releases

3.1 AI-Generated Content: Images provided by Studio JKT are generated using artificial intelligence unless otherwise noted. The Licensee acknowledges that Images are created using AI and Non-AI technology and that the Licensor has taken necessary measures to ensure compliance with relevant regulations.

3.2 Release Assurance: Studio JKT affirms that, prior to offering Images for sale, any necessary model releases or building releases have been obtained from relevant models and property owners.

4. Prohibited Actions

4.1 Exclusivity: The Licensee acknowledges that Studio JKT retains the right to continue licensing the Images to other parties with the exception of exclusively purchased Images.

4.2 Resale and Redistribution: The Licensee is prohibited from selling, sub-licensing, or distributing the Images in their original format for profit. Furthermore, the Licensee is prohibited from compiling Images purchased from Studio JKT to duplicate them on a similar or competing Stock Image platform or website.

5. Modifications and Derivative Works

5.1 Modified Use: The Licensee may modify the Images and use the modified versions without providing attribution.

6. Exclusive Purchase Option

6.1 Exclusive Purchase: The Licensee has the option to purchase Exclusive Rights to Images at an additional fee specified by Studio JKT. When acquiring exclusive rights to an image, Studio JKT commits to withdrawing the image from public access, refraining from licensing it to any other parties, and transferring the copyright of the image to the buyer. 7. Copyright and Ownership

7.1 Copyright: Studio JKT retains full copyright of the Images, including all intellectual property rights associated with them.

8. Liability

8.1 Warranty: The Images are provided "as is" without any warranty of any kind, whether expressed or implied.

8.2 Liability Limitation: Studio JKT shall not be liable for any direct, indirect, special, incidental, or consequential damages arising out of the use of the Images.

9. Governing Law

9.1 Jurisdiction: This Agreement shall be governed by and interpreted in accordance with the laws of Oakland County, Michigan.

By purchasing and using the Images, the Licensee agrees to all the terms and conditions outlined in this Agreement. This Agreement constitutes the entire agreement between the parties concerning the subject matter herein.
